Governance Director
The Governance Director will abide by the adopted school mission, vision and core values as a member of the Board and will participate in the annual new student Family Intake Conferences. The Governance Director will continually verify that LCMS is in compliance with all laws, rules and regulations mandated by the federal, state and local governmental entities regarding charter schools; will verify that By-Laws of the Board reflect current Board policy and compliance with law; will assure Board candidates understand the important role of each Director; conduct annual elections pursuant to law and the By-laws; strive to improve voter turn-out; seek to constantly improve and update the election process, provide the seamless transition of Board Directors year to year and will serve as a member of the Langston Foundation Board and maintain the proper flow of information between the School Board and the Foundation Board and verify that each Board operates independently and within the confines of each Board's proper role and duties.
Duties:
1. Inform the Board of changes in the law or of new laws effecting LCMS.
2. Propose documents as needed to comply with law and as requested by the School administration or Board to maintain school policy. Upon review, finalizing documents and presenting same for the appropriate action; (i.e. to the Principal or to the School Board for vote).
3. Annually review the Board of Trustees Code of Ethics; verify all Board members annually sign Conflict of Interest statement.
4. Ensure the annual election for the Board of Directors is conducted in accordance with state law and Board policy:
- Schedule dates with Board at the beginning of each school year to comply with By-laws.
- Conduct information meeting in such a manner that the roles and duties of each Board position are clearly stated.
- Prepare/review Board candidate applications with an emphasis on required/desired qualifications.
- Verify information for election is posted and distributed as required (posted to the website, in the Friday Memo, posted in the office area at school). Seek ways to improve voter turn-out.
- Collect and verify that candidate applications have the information required and that the applications are disseminated to the electorate.
- Prepare ballots, conduct election and announce results.
5. Verify each Board Director complies with Board training required by law and develop in-house training, as necessary, to improve the skills/knowledge of Board members. Assist in providing new Board Directors with a notebook (each current Director to transfer his/her notebook - verify at a minimum the following is contained in same: By-laws, conflict of interest statement, School charter, Mission, Vision and Core Values Statement, Budget for next school year)
6. Plan and be responsible for any Board Retreats for the purpose of planning or training of Board members.
7. Maintain communication between the School Board and Foundation Board; oversee that the Boards maintain their proper roles and functions and do not over-lap. Essentially important is the financial role each plays, including collection and distribution of assets.
8. With the approval of the Board of Directors, establish Governance committee as needed.
9. Give reports to the Board as necessary or when requested to do so.
10. Maintain the official copy of the Board By-laws and process any amendments as determined by board actions.
Required Qualifications:
- Knowledge of the law
- Lawyer or paralegal
- Good organizer & planner
- Legal writing skills
Desired Qualifications:
- Prior Board experience (may be other than LCMS)
- Corporate trainer
- Legislative experience
- Experience in SC School law or professional legal experience
